THE POSITION
As Legal Counsel Corporate, you are part of the Corporate Legal team and report to the Manager Corporate Legal. You act as a business partner on corporate legal, corporate governance, M&A, financing and other strategic matters. You work closely with the headquarter departments Strategy & Markets, Treasury, and Group Finance and the Offshore Energy and Dredging & Infrastructure business units. You also work with external stakeholders such as financing banks, auditors, public authorities, and notaries. In addition, you support the coordination and oversight of Van Oord's litigation and disputes. This gives you a broad view of the organisation and the opportunity to contribute to both strategic decisions and the way Van Oord manages legal risks across the group.
YOUR IMPACT
You combine strong corporate legal expertise with a practical understanding of the business. You help colleagues navigate complex corporate matters and strategic transactions while ensuring that Van Oord's governance and legal structures remain sound. At the same time, you contribute to a consistent approach to litigation and disputes across the group. You bring together information from different business units, identify legal risk trends and help senior management make informed decisions. Your work has a direct impact on how Van Oord protects its interests and creates a strong foundation for future growth.
• Advise the business on corporate legal, corporate governance, M&A, financing and other strategic matters and act as a business partner for senior stakeholders
• Support the management and maintenance of Van Oord's corporate governance framework and legal entity structure and advise on strategic transactions such as acquisitions, divestments, joint ventures and financing arrangements
• Coordinate and maintain oversight of Van Oord wide litigation and disputes, and prepare the annual Claims & Litigation Report for the Executive Committee and Supervisory Board together with the legal teams of the business units
• Monitor litigation related legal risk trends and external legal spend and support the continuous improvement of disputes and litigation processes across Van Oord
ABOUT YOU
You are an experienced legal professional who combines strong corporate legal expertise with sound judgement and a practical approach. You enjoy working in an international environment where legal questions are closely connected to business decisions. You can navigate complex matters, communicate clearly with non-legal stakeholders and build trusted relationships across functions and business units. You remain calm when priorities are high and know when to challenge and when to find a practical way forward. You bring the following experience and skills:
• A Master's degree in Dutch law and 6 to 8 years of relevant experience in corporate legal matters within a dynamic international environment, including corporate governance, financing and strategic transactions
• In depth knowledge of corporate law and corporate governance, combined with experience in or a clear affinity with litigation and dispute resolution
• Strong analytical and problem-solving skills and the ability to translate complex legal issues into clear and practical advice for non-legal stakeholders
• Strong communication, negotiation and stakeholder management skills and the ability to build effective relationships across functions, business units and external partners
• Fluency in Dutch and English and the resilience to remain calm and make sound decisions when working under pressure
