Manager Corporate Legal

The position

 

We are seeking a seasoned legal professional to join our leadership team as the Manager Corporate Legal. In this pivotal role, you will serve as the primary legal advisor to the General Counsel and senior leadership across various business units. Your expertise will be instrumental in navigating complex corporate legal and governance challenges, leading and negotiating cross-border corporate transactions, mergers and acquisitions (M&A), and finance deals, while balancing business opportunities with legal risks.

 

As a key member of the Legal Management Team, you will lead the Corporate Legal team, ensuring the alignment of legal strategies with business objectives and fostering a proactive legal culture within the organization.

 

Your responsibilities

 

Is a business partner, sparring partner and trusted advisor to CFO, the ExCom, the  Leadership BU’s (managing directors, finance directors, commercial directors) on corporate legal and finance matters

- Works in close contact with the Group Compliance Director, Director Strategy & Markets, director Treasury, Director F&A, Group Reporting on relevant legal issues and compliance issues

-  Is a member of the Management Team Legal;

- Works in close contact with MerweOord B.V., external shareholders (Ulran and ConsOord), Works Council.

- Works in close contact with financing banks, external auditor/accountant, public authorities, notary, Chamber of Commerce

- Works in close contact with HR in order to implement resourcing goals, facilitate personal development of team members, develop career path and yearly appraisals;

- Develops and maintains a network of other general counsels, legal directors, legal counsels and contract managers in the industry;

- Develops and maintains a network of law firms, external counsels and legal consultants;

 

Job requirements

 

  • Education: Master’s degree in Law; additional qualifications (e.g., LLM, Bar admission) are advantageous.
  • Experience: Minimum of  10 years of experience in corporate legal affairs, corporate governance, with a strong background in M&A, and cross-border transactions.
  • Leadership: Proven experience in leading and developing legal teams, with strong interpersonal and communication skills.
  • Technical Skills: In-depth knowledge of corporate law, compliance regulations, and legal risk management.
  • Languages: Fluency in Dutch and English essential.
